# Terms of Service

**In short:** Oath is software. You hold your keys and your funds. We can’t recover, reverse or freeze anything for you. Your local consumer rights always still apply.

## 1. Agreement

These Terms of Service (“Terms”) are a legal agreement between you and STAGE AND STYLE COLLECTIVE LLC, 2103 Condor Ct, Redmond, Oregon 97756-8281, United States (“Oath”, “we”, “us”), and govern your use of the Oath mobile application and website (the “Service”). By downloading or using the Service you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of an organisation, you confirm you are authorised to accept these Terms for it.

## 2. Eligibility and availability

You must be at least 18 years old, or the age of legal majority where you live, to use the Service. The Service is not offered where its use would be unlawful, and features may differ by country.

- You confirm you are not located in, or a resident of, a country or region subject to comprehensive sanctions, and are not on any government sanctions list.
- You are responsible for complying with the laws that apply to you, including laws on digital assets, taxes, foreign exchange and reporting.

## 3. What the Service is

Oath is a non-custodial (self-custody) wallet: software that runs on your device and helps you generate keys, view balances and sign transactions on public blockchains.

Oath is not a bank, exchange, broker, payment institution, custodian, investment adviser or marketplace. We never hold, control or have access to your digital assets, private keys, recovery phrase or passkeys, and we cannot execute transactions for you.

## 4. Your keys, your responsibility

Your recovery phrase, private keys and passkeys are the only way to access your wallet. You are solely responsible for creating, storing and protecting them.

- If you lose your recovery phrase and your passkey, no one — including us — can restore your wallet.
- Anyone with your recovery phrase can move your funds. Never share it. Oath will never ask for it.
- If you generate entropy yourself (dice, coin flips or digits), you are responsible for doing so correctly and privately.

## 5. Transactions and fees

Transactions are broadcast to public networks that we do not control, and are irreversible once confirmed. Network fees are paid to network participants, not to Oath, and are shown before you confirm.

We do not guarantee confirmation times, fee levels, the availability of any network, or the value of any digital asset.

## 6. Third-party services and EVM Access

The Service may display or connect to third-party networks, tokens, price providers and decentralised applications. They are not operated by us and are used at your own risk.

EVM Access lets you view and revoke token approvals given to third-party applications. Revoking an approval is an on-chain transaction that costs a network fee.

## 7. Information, not advice

Prices, charts and local-currency values are provided for information only, may be delayed or inaccurate, and are not financial, investment, legal or tax advice. Digital assets are volatile and you may lose some or all of their value.

## 8. Taxes

You are solely responsible for determining and paying any taxes that apply to your digital assets and transactions, and for any required reporting.

## 9. Acceptable use

You agree not to use the Service to break any law, including sanctions, anti-money-laundering and counter-terrorist-financing laws; to infringe others’ rights; to distribute malware; or to disrupt the Service or any network.

## 10. Open source and licence

Oath’s source code is published at github.com/devdasx/oath-wallet under its open-source licence, which governs your rights in that code. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to use the app we distribute. Oath’s name, logo and brand are our trademarks and are not licensed to you.

## 11. Apple App Store terms

If you downloaded Oath from the Apple App Store, the following also apply:

- These Terms are between you and STAGE AND STYLE COLLECTIVE LLC only, not Apple Inc. (“Apple”). We, not Apple, are solely responsible for the app and its content.
- Your licence is limited to use on Apple-branded devices you own or control, as permitted by the App Store Usage Rules.
- Apple has no obligation to provide maintenance or support for the app.
- If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation for the app.
- We, not Apple, are responsible for addressing any claims relating to the app, including product-liability claims, claims that the app fails to meet legal or regulatory requirements, and consumer-protection or privacy claims.
- We, not Apple, are responsible for investigating and resolving any claim that the app infringes a third party’s intellectual property rights.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

## 12. Your consumer rights

Nothing in these Terms limits any rights you have under mandatory consumer-protection laws in your country of residence, which cannot be waived by contract. Where these Terms conflict with such laws, those laws prevail.

If you live in the European Union, the United Kingdom or another country with similar laws, you keep your statutory rights, including rights relating to digital content that is not as described.

## 13. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement.

## 14. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special or consequential damages, or for any loss of digital assets caused by lost or disclosed keys, user error, device compromise, network failures or third-party services.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, such as liability for death or personal injury caused by negligence, or for fraud.

## 15. Termination

You may stop using the Service at any time by deleting the app. Because the Service is non-custodial, your wallet and funds remain accessible to you with your recovery phrase even if you stop using Oath. We may suspend or discontinue the Service, or parts of it, where required by law or for security reasons.

## 16. Changes to these Terms

We may update these Terms. We will change the “Last updated” date and, for material changes, give notice in the app before they take effect. If you do not agree to the changes, you may stop using the Service.

## 17. Disputes

If you are a consumer, you benefit from any mandatory provisions of the law of your country of residence, and you may bring proceedings in the courts of your country of residence.

Before starting any claim, please contact us at care@oathwallet.org so we can try to resolve it informally. EU consumers may also use the European Commission’s online dispute-resolution platform.

## 18. General

If any provision of these Terms is found unenforceable, the rest remains in effect. These Terms are the entire agreement between you and us about the Service. We may assign these Terms in connection with a merger or sale; you may not assign them without our consent. We are not liable for delays caused by events beyond our reasonable control. If these Terms are translated, the English version prevails to the extent permitted by law.
